The purpose of this letter is to notify you of an upcoming change to the SEAM Group legal entity.  

On February 16th, 2024, ABB Inc., a Delaware corporation (“ABB”) announced that it signed an agreement to acquire SEAM Group (“SEAM Group”) (the “Transaction”). The closing date for the Transaction has now been set.     
 
On August 1, 2024, SEAM Group will merge with and into ABB, at which time ABB will become the party to all existing contracts (including purchase orders) with you and your affiliates. The terms of the contract(s) entered between SEAM Group and your company or your affiliates and SEAM Group, should otherwise remain unchanged. Keep a copy of this notice letter with your respective files.

Please find below specific information regarding the legal entity merger and documentation requirements on and after August 1, 2024:

Purchase Orders (PO): All new purchase orders will be issued by ABB Inc. The name on your existing SEAM Group customer account must be changed to ABB Inc. Any in-process open POs can remain unchanged and will follow the existing SEAM Group invoicing and payment process.

Invoicing addresses and processes: There will be no change to the addresses, invoicing processes, or points of contact. All invoices must contain the new legal entity name of ABB Inc. and failure to do so could potentially cause delays in payment. 

Tax registration numbers: Update the tax registrations you have on record to reflect the following:  
ABB Inc.
TAX ID: 363100018
